WORLDS.COM ANNOUNCES PRIVATE PLACEMENT

Net Proceeds of Approximately $3.7 Million

New York, NY, April 18, 2000 - Worlds.com (OTC/BB: WDDD) today announced that it has completed an offering of 976,597 shares of its Common Stock to overseas investors in a transaction pursuant to Regulation S of the Securities Act of 1933, as amended (the "Act").

Hoodless Brennan & Partners plc, a firm of stock brokers based in London, England, placed the shares under a subscription agreement with the Company.

The Company also announced that it has completed an offering of 142,049 shares of its Common Stock to four investors in transactions pursuant to Section 4(2) of the Act. International Capital Growth, Ltd., a NASD-licensed broker-dealer, served as placement agent with respect to the subscription agreements for those four investors.

The 1,118,646 shares issued in both offerings, which constitute in the aggregate approximately six percent of the Company’s outstanding Common Stock on an after-issued basis, were issued at a price of $3.52 per share and the Company derived net proceeds therefrom of approximately $3.7 million.

The Company intends to use the net proceeds as working capital for operations as well as to fund research and development activities. The shares issued in these offerings have not been registered under the Act and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
